End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you (“you” or “User”) and GRUV GEAR (“GRUV GEAR,” “we,” “us,” or “our”) governing your access to and use of any software, firmware, applications, digital features, downloadable content, updates, upgrades, documentation, or related digital materials made available by GRUV GEAR (collectively, the “Software”).

By downloading, installing, accessing, activating, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to this EULA, do not download, install, access, or use the Software.

If you are using the Software on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to this EULA.

1. License Grant

Subject to your compliance with this EULA, GRUV GEAR grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, access, and use the Software solely for your personal or internal business purposes and in connection with any GRUV GEAR product for which the Software is intended.

The Software is licensed, not sold. GRUV GEAR and its licensors retain all right, title, and interest in and to the Software except for the limited rights expressly granted to you under this EULA.

2. License Restrictions

Except where expressly permitted by applicable law or authorized by GRUV GEAR in writing, you may not:

• copy, reproduce, distribute, sell, lease, rent, sublicense, assign, publish, or otherwise transfer the Software or any rights granted under this EULA;

• modify, adapt, translate, alter, or create derivative works based upon the Software;

• reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive or obtain the source code, underlying ideas, algorithms, structure, or organization of the Software;

• circumvent, disable, remove, or interfere with any technological protection, security, authentication, licensing, or access-control mechanism contained in the Software;

• remove, alter, or obscure any copyright, trademark, attribution, proprietary-rights, or other notices contained in the Software;

• use the Software for any unlawful, fraudulent, abusive, or unauthorized purpose;

• use the Software in a manner intended to damage, disable, overload, compromise, or interfere with GRUV GEAR systems, products, services, networks, or other users; or

• use the Software to develop, train, create, or assist in developing a competing product or service where such use would infringe or misappropriate GRUV GEAR's intellectual property or other proprietary rights.

Nothing in this EULA restricts rights that cannot lawfully be restricted under applicable law.

3. Ownership and Intellectual Property

The Software, including its source and object code, design, interfaces, graphics, text, documentation, functionality, trademarks, trade dress, and other content, is owned by or licensed to GRUV GEAR and is protected by applicable copyright, trademark, patent, trade-secret, and other intellectual-property laws.

Except for the limited license expressly granted under this EULA, no right, title, license, or interest in the Software or any GRUV GEAR intellectual property is granted or transferred to you.

4. Updates and Changes

GRUV GEAR may periodically provide updates, upgrades, bug fixes, patches, security updates, new features, or other modifications to the Software (“Updates”).

Updates may modify, replace, add, or remove functionality. Unless accompanied by a separate license agreement, all Updates are considered part of the Software and are governed by this EULA.

Where reasonably necessary for security, compatibility, reliability, or continued operation of a product or service, certain Updates may be installed or applied automatically where permitted by your device settings and applicable law.

GRUV GEAR does not guarantee that any particular feature or version of the Software will remain available indefinitely.

5. Third-Party Software and Services

The Software may contain, incorporate, interact with, or provide access to software, services, content, or technology supplied by third parties.

Certain third-party components, including open-source software, may be subject to separate license terms. Where applicable, those terms govern your use of the relevant third-party component and nothing in this EULA is intended to restrict rights granted to you under an applicable open-source license.

GRUV GEAR is not responsible for third-party products or services except to the extent required by applicable law.

6. Accounts and Connectivity

Certain Software features may require an internet connection, compatible hardware or software, creation of an account, or access to third-party services.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account, except to the extent such activity results from circumstances for which you are not responsible.

You are also responsible for any internet, mobile-data, carrier, or other third-party charges associated with your use of the Software.

7. Privacy and Data

Your use of the Software may involve the collection, processing, or transmission of certain information necessary to provide, maintain, secure, or improve the Software and related services.

Any personal information collected by GRUV GEAR will be handled in accordance with the GRUV GEAR Privacy Policy and applicable privacy laws.

Where the Software interacts with third-party services, those third parties may separately collect or process information according to their own privacy policies and terms.

8. Feedback

If you voluntarily provide GRUV GEAR with suggestions, comments, ideas, recommendations, or other feedback concerning the Software (“Feedback”), you grant GRUV GEAR a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, incorporate, commercialize, and otherwise use that Feedback for any lawful purpose without compensation or obligation to you.

This provision does not transfer ownership of your personal information or other materials unrelated to the Feedback.

9. Term and Termination

This EULA remains effective until terminated.

Your rights under this EULA will terminate if you materially violate its terms and fail to cure the violation where applicable law requires an opportunity to do so.

Upon termination, you must discontinue use of the Software and, where reasonably practicable, delete or destroy copies in your possession or control.

Termination of this EULA does not affect provisions that by their nature are intended to survive termination, including provisions concerning ownership, intellectual property, disclaimers, limitations of liability, and dispute resolution.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

GRUV GEAR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

GRUV GEAR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, COMPATIBLE WITH EVERY DEVICE OR SYSTEM, OR THAT ALL DEFECTS WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR LIMITATIONS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW AND DO NOT AFFECT RIGHTS THAT CANNOT LEGALLY BE WAIVED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRUV GEAR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS EULA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRUV GEAR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE AMOUNT YOU PAID TO GRUV GEAR FOR THE SOFTWARE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR, IF THE SOFTWARE WAS PROVIDED WITHOUT CHARGE, US $100.

THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Export and Legal Compliance

You agree to use the Software in compliance with applicable laws and regulations, including applicable export-control, sanctions, and trade laws.

You may not export, re-export, transfer, or make the Software available in violation of applicable United States or other applicable export-control or sanctions laws.

13. U.S. Government Users

If the Software is acquired by or on behalf of the United States Government, the Software and related documentation are “commercial products,” “commercial computer software,” and “commercial computer software documentation,” as applicable, and are licensed to U.S. Government users only with the rights granted to all other users under this EULA, except as otherwise required by applicable law.

14. Governing Law

Except where applicable law requires otherwise, this EULA and any dispute arising from or relating to it will be governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Nothing in this section deprives you of any mandatory consumer protections available under the laws of your place of residence.

15. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this EULA or the Software will be handled in accordance with any applicable dispute-resolution provisions contained in GRUV GEAR's Terms of Use, as amended from time to time, to the extent those provisions apply to the dispute.

Where no such provision applies, the parties retain the rights and remedies available to them under applicable law.

16. Changes to this EULA

GRUV GEAR may update this EULA from time to time to reflect changes to the Software, our practices, or applicable legal requirements.

When required by applicable law, we will provide reasonable notice of material changes. The updated EULA will identify its effective or “Last Updated” date.

Your continued use of the Software after an updated EULA becomes effective constitutes acceptance of the updated terms to the extent permitted by applicable law.

17. Severability

If any provision of this EULA is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

18. No Waiver

GRUV GEAR's failure to enforce any provision of this EULA will not constitute a waiver of that provision or of its right to enforce that provision in the future.

19. Entire Agreement

This EULA, together with GRUV GEAR's applicable Terms of Use, Privacy Policy, and any additional terms presented in connection with specific Software, constitutes the agreement between you and GRUV GEAR concerning your use of the Software.

If specific Software is accompanied by separate license terms that expressly conflict with this EULA, those specific license terms will control with respect to that Software.
